Rashid Junusbekov is focused on domestic and cross border M&A transactions, joint ventures, equity finance, venture capital financing and other corporate matters. Prior to joining us, Rashid worked at leading international law firms.

Practical experience


  • the formation of a deadlocked joint venture company, including the preparation of a shareholders agreement, articles of association, option agreement, a profit participation agreement and negotiation in connection with them.
  • the sale of a control over a mining company pursuant to a commercial deal between groups of companies, the preparation of a share purchase agreement and the negotiation over it on a seller side.
  • participating in an acquisition transaction by a Chinese electricity company of a group of companies generating electricity in Kazakhstan by way of auction sale launched by a seller, revising a share purchase agreement in terms of the protection of the business valuation for the buyer.
  • the formation of several mining joint venture companies between a group of foreign companies and Kazakhstani exploration company, including the preparation of a shareholders’ agreement and articles of association.
  • the formation of a Kazakhstan law joint venture company between companies in the nuclear industry for manufacturing of fuel assembly for nuclear reactors, including the preparation of a shareholders’ agreement, articles of association and commercial agreements.
  • the preparing and negotiating a share purchase agreement in connection with the acquisition of a gas and oil construction company in Kazakhstan.
  • the preparation and negotiation of a share purchase agreement, long-term service agreement with earn-out elements and the conduct of the negotiation in relation to them and acting for a foreign company, associated with a large French group of energy companies in connection with its acquisition by it of a solar plant company in Kazakhstan.
